Senior Counsel, Global Contracts Team

ADP is seeking an experienced attorney to lead complex commercial transactions for ADP's newly formed Global Contracts Team. The successful candidate's primary focus will be supporting the Comprehensive Outsourcing Services and Multi-Country businesses. This highly visible role offers the opportunity to advise senior business stakeholders, including sales, finance, implementation, service and operations on client, strategic and vendor contracts and how to successfully navigate commercial contract negotiations. The successful candidate will be instrumental in helping to drive innovation in the ADP contract process.

Responsibilities:

  • Utilize balanced lawyering to efficiently and effectively draft, negotiate and close a wide variety of complex national and cross border technology and outsourcing contracts and other legal documents with existing and prospective clients, strategic partners, and vendors under limited supervision.
  • Work effectively with sales, finance and business leadership to reach a successful outcome in contract negotiations.
  • Interface with all levels of ADP personnel to advise on contract related matters and ensure contract terms are consistent with ADP's business practices, policies and financial, fiscal, and strategic goals.
  • Coordinate the negotiations of international transactions with business teams in the US, EMEA, APAC and LATAM.
  • Develop and conduct periodic training on contract terms, position and the contract process in general for sales and business colleagues.
  • Provide general legal advice as required on other matters.

Qualifications Required:

  • Juris Doctor Degree from an ABA accredited law school.
  • Candidate must be a member of a state bar in one of the 50 states in the United States.
  • Minimum of 8 to 10 years of relevant legal practice, preferably with a top law firm or corporation, with specific emphasis on contract negotiation, outsourcing, analysis and management of contractual risk and exposure.
  • Superior knowledge and application of outsourcing arrangements, technology contracts, software-licensing, and business law with strong legal analysis skills and judgment.
  • Familiarity with the privacy laws, including CCPA and EU data privacy laws.
  • Must have very strong negotiation skills with good business judgment, as well as very strong analytical skills and legal drafting skills with a meticulous attention to detail.
  • Excellent verbal and written communication skills and the ability to work under pressure and meet critical deadlines are necessary.
  • Must have good interpersonal skills and be able to interface effectively with all levels of ADP management and external attorneys and business associates of clients, partners and vendors.
  • Must demonstrate ability to be assertive while maintaining diplomatic and professional demeanor.
  • Must be a motivated self-starter with the ability to manage transactions to completion and proactively anticipate issues or problems that may arise.
  • Demonstrated understanding of software, hardware, telecommunications and related technology is necessary.
  • Experience with international outsourcing arrangements, Civil Law legal systems, and M&A strongly preferred.
  • Must be able to accommodate some travel.
  • Temporarily remote; position will be based in Alpharetta, Georgia, Miami, Florida or Roseland, New Jersey.
